1. Introduction
1.1 These Terms and Conditions govern the provision of IT support services provided by Fix I.T. PC Services Ltd, registered at 123 Vicarage Crescent Redditch B97 4RR (the “Provider”) to the client (the “Client”).
1.2 These Terms and Conditions, together with any and all other documents referred to herein, set out the terms of the agreement between the Provider and the Client.
2. Definitions
“Agreement” refers to the IT Service Agreement to which these Terms and Conditions apply.
“Services” refer to the IT support services provided by the Provider to the Client as described in the Agreement.
“Confidential Information” refers to any data or information, oral or written, treated as confidential that relates to either party’s business or affairs.
“Data Protection Legislation” refers to the UK GDPR and any applicable national laws, regulations, and secondary legislation relating to the processing of personal data and privacy.
3. Provider’s Obligations
3.1 The Provider shall perform the Services with reasonable care and skill and in accordance with the Agreement.
3.2 The Provider shall comply with all applicable regulations and laws in the provision of the Services.
3.3 The Provider may use third-party suppliers or sub-contractors to provide some or all of the Services.
4. Client’s Obligations
4.1 The Client shall provide the Provider with all necessary co-operation, information, and access to enable the provision of the Services.
4.2 The Client is responsible for ensuring that its computer systems and software are compatible with the Provider’s requirements.
5. Fees and Payment
5.1 The Client shall pay the fees as set out in the Agreement.
5.2 Payment is due within 14 days of the invoice date, unless otherwise specified in the Agreement.
6. Confidentiality
6.1 Each party shall keep the other’s Confidential Information strictly confidential and not use it other than for the purposes of this Agreement.
6.2 This clause shall survive termination of this Agreement.
7. Data Protection
7.1 Both parties will comply with all applicable requirements of the Data Protection Legislation.
7.2 The parties acknowledge that the Client is the data controller and the Provider is the data processor in relation to any personal data.
8. Limitation of Liability
8.1 The total liability of the Provider to the Client shall not exceed the total fees paid by the Client.
8.2 The Provider shall not be liable for any indirect or consequential losses.
9. Term and Termination
9.1 This Agreement shall commence on the date set out in the Agreement and shall continue unless terminated in accordance with its terms.
9.2 Either party may terminate this Agreement by providing written notice as specified in the Agreement.
10. General Provisions
10.1 Force Majeure: Neither party shall be liable for any delay in performing their obligations if such delay is caused by circumstances beyond their reasonable control.
10.2 Governing Law and Jurisdiction: This Agreement shall be governed by the laws of England and Wales, and each party agrees to submit to the exclusive jurisdiction of the English and Welsh courts.
